The proposal of the Nominations Committee for the election of Board members

The Nominating Committee of Micro Systemation ABwhich consists on Erik Ivarsson (nominated by AB Grenspecialist) David Zaudy (appointed by Cervantes Capital) and Christian Hellman (nominated by Edastra AB), has resolved to submit the following proposals to the 2022 Annual General Meeting regarding the number of directors and the election of directors.

The Appointments Committee proposes that the number of directors sitting on the Board be reduced by one person and thus amount to five members.

The Nominations Committee proposes the re-election as directors of Bernt Ingman, Fredrik Nilsson, Pierre Gilles and the election of Hanna Bilir and Rolf Rosenvinge as new board members. Anne Hellenius, Linda Nyberg and Jan-Olof Backman not standing for re-election. Bernt Ingman is proposed to be re-elected Chairman of the Board.

Depending on the operation of the company, its development phase and general market conditions, the Nominations Committee discussed the diversity, size and composition of the Board of Directors in terms of sector experience , competence, gender balance and international experience. To replace the non-re-eligible members, the Appointments Committee deemed it desirable to complete the Board with members with extensive experience in technologies, media and telecoms (TMT), communication and cybersecurity.

Hanna Bilir has many years of strategic communications experience advising leading companies including iZettle, Truecaller and Telia Company on fast-moving critical issues. She leads Brunswick’s Nordic Technology, Media and Telecommunications (TMT) practice, supporting fast-growing industry leaders in hardware, software, networking and Internet services. Hanna also supports management teams and boards on a wider range of projects, including IPOs, mergers and acquisitions, crisis communications and corporate positioning. Hanna started at Brunswick in 2006 and has worked across Brunswick London, new York and co-founder of stockholm Office. Hanna holds a Bachelor of Arts in European Studies with Honors in German from Kings College London. Rolf Rosenvinge is the founder and CEO of AB paloscope, a company active in the field of cybersecurity with both consulting services, analytical services and an intelligence analysis platform. Rolf has an extensive international network and experience as an entrepreneur and former partner at audit firm PwC, where he led the development of PwC Sweden’s cybersecurity business and a member of the EMEA Cyber ​​leadership team . The Appointments Committee is of the opinion that the experience of Hanna and Rolf corresponds well to the skills profiles desired within the Board.

Neither Hanna nor Rolf currently owns any shares in Micro Systemation AB and both are independent of the company and its management and also independent of the main shareholders of the company.
